Underthecanopy.com ("Under The Canopy," "Company," "we," "our," or "us") offers mobile marketing alerts and related mobile communications regarding promotions, sales, offers, cart reminders, back in stock alerts, low inventory alerts, price drop alerts, and order and shipping notifications by SMS message and, where applicable, other mobile messaging services (collectively, the "Service") in connection with the Under The Canopy website located at www.underthecanopy.com (the "Site"). The Service is currently operated using 1-833-637-1135.

By participating in the Service, you agree to these Mobile Terms & Conditions ("Mobile Terms"), the Under The Canopy Terms of Use, and the Under The Canopy Privacy Policy. These Mobile Terms are considered Additional Terms and are incorporated into the Under The Canopy Terms of Use by reference. In the event of a conflict between these Mobile Terms and the Terms of Use, these Mobile Terms will control with respect to the Service.

Signing Up and Opting-In to the Service. Enrollment in the Service requires you to provide your mobile telephone number and affirmatively agree to these Mobile Terms. You may not enroll in the Service if you are under eighteen (18) years of age or the age of majority in your jurisdiction of residence. By enrolling in the Service, you represent that you are the authorized subscriber or customary user of the mobile number you provide and that you are authorized to consent to receive communications at that number. Under The Canopy reserves the right to modify, suspend, or terminate the Service at any time, subject to applicable law.

By opting into the Service, you:

  1. Authorize Under The Canopy to use automated technology, non-automated technology, autodialed technology, or other lawful messaging technology to send recurring text messages to the mobile telephone number associated with your opt-in, including the number listed on the opt-in form, the number from which you send an opt-in request, or, where applicable, the number on file for the account associated with your opt-in.
  2. Acknowledge that consent to receive marketing or promotional messages is not a condition of purchase.
  3. Confirm that you are the subscriber to the relevant phone number or the customary user of that number on a family or business plan and that you are authorized to opt in.
  4. Consent to the use of an electronic record to document your opt-in. To request a free paper or email copy of your opt-in records, or to update our records with your contact information, please contact us at help@underthecanopy.com. To view and retain an electronic copy of these Mobile Terms or your opt-in records, you will need: (i) a device, such as a computer or mobile phone, with internet access; and (ii) either a printer or storage space on that device. To receive an email copy, you will also need an email account you can access from that device and a browser or other software capable of displaying email messages.

Content You May Receive. Once you affirm your choice to opt in to the Service, message frequency may vary depending on your interactions with Under The Canopy, your account activity, your purchases, your participation in promotions, and operational or business factors.

You may receive alerts about:

  1. Sale
  2. Promotions
  3. Offers
  4. Cart reminders
  5. Back in stock alerts
  6. Low inventory alerts
  7. Price drop alerts
  8. Order confirmations or notices that an order has been placed
  9. Shipping notifications or notices that an order has been shipped
  10. Delivery notifications or notices that an order has been delivered
  11. Customer service or account-related communications
  12. Other transactional, informational, or promotional ecommerce-related communications

Charges and Carriers. Message and data rates may apply. Please consult your wireless carrier service agreement or contact your wireless carrier to determine your pricing plan and the charges for sending and receiving text messages. You acknowledge that you are responsible for any message, data, roaming, overage, subscription, or other wireless charges incurred as a result of using the Service.

The Service may not be available on all wireless carriers, devices, or geographic areas. Under The Canopy may add or remove any wireless carrier from the Service at any time without notice. Under The Canopy and wireless carriers are not responsible for delayed or undelivered messages, failed delivery, or errors in messages.

To Stop the Service. To stop receiving text messages from Under The Canopy, text the word STOP to 1-833-637-1135 at any time or reply STOP to any text message you receive from Under The Canopy. After texting STOP to 1-833-637-1135 or replying STOP to a message, you will receive one additional message confirming that your request has been processed. After that confirmation, you should no longer receive marketing text messages from the Service unless you opt in again. Where required by applicable law, Under The Canopy may also honor other reasonable requests clearly expressing your desire to revoke consent or stop receiving mobile communications from the Service.

Use of Information. Under The Canopy may collect, use, process, store, and disclose personal information associated with your participation in the Service, including your mobile telephone number, consent records, message interaction data, account information, transaction-related information, customer service information, and related device or usage information, for legitimate business purposes associated with operating its ecommerce services and communications programs.

Such information may be used to administer the Service, maintain consent and suppression records, provide customer support, process transactions, conduct analytics, detect fraudulent activity, protect the security of the Site, comply with legal obligations, and support business operations. Under The Canopy's collection, use, disclosure, retention, and protection of personal information is also governed by the Under The Canopy Privacy Policy and Ecommerce and Website Security Policy.

Changes to Mobile Number. If you change, transfer, forfeit, deactivate, or cease using the mobile telephone number associated with your participation in the Service, you agree to notify Under The Canopy promptly or opt out of the Service before the change takes effect, where reasonably possible. You understand that if you fail to do so, messages intended for you may be sent to a person who acquires your former number, and Under The Canopy will not be responsible for such communications to the extent caused by your failure to update your information or revoke consent.

Disclaimer of Warranties. The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. Under The Canopy does not warrant that the Service will be uninterrupted, timely, secure, accurate, complete, or error-free.

Limitation of Liability. To the fullest extent permitted by applicable law, Under The Canopy shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Service, including delayed or undelivered messages, message errors, carrier-related issues, technical failures, interruptions, or reliance on any communication sent through the Service. Nothing in these Mobile Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.

Dispute Resolution. Any dispute, claim, or controversy arising out of or relating to these Mobile Terms or the Service will be governed by the dispute resolution, arbitration, class action waiver, governing law, venue, and related provisions contained in the Under The Canopy Terms of Use, which are incorporated into these Mobile Terms by reference.

Changes to Terms. If you change, transfer, forfeit, deactivate, or cease using the mobile telephone number associated with your participation in the Service, you agree to notify Under The Canopy promptly or opt out of the Service before the change takes effect, where reasonably possible.
